Before You Purchase — New accounts may receive complimentary trial credits for API integration testing. We recommend verifying your setup and use case before purchasing. Top up based on your actual usage; stockpiling credits is not supported. Paid credits are valid for one year from the date they are credited, and unused balances expire without refund unless mandatory law requires otherwise.

Important Notice — SoonStudio acts solely as an API relay and technical intermediary and does not operate upstream AI models. Upstream APIs, network conditions, regulatory policies, and third-party provider decisions may cause fluctuations, latency changes, rate limits, or temporary unavailability beyond our reasonable control. AI-generated outputs are inherently uncertain. You are solely responsible for content compliance, intellectual property, and user-data risks in your own deployments.

1. Acceptance & Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to enter a binding contract. If you use SoonStudio on behalf of an organization, you represent that you have authority to bind that organization.

By registering, logging in, purchasing credits or plans, or using our services, you confirm that you have read and agree to these Terms, our Privacy Policy, and Disclaimer.

2. Account & Security

You are responsible for keeping account credentials and API keys confidential, and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

We may require identity or business verification for billing or compliance. Accounts may not be transferred without our prior written consent. We may suspend or terminate accounts that violate these Terms or pose security or legal risk.

3. Services & Billing

SoonStudio provides API relay, proxy, catalog, Playground, and related developer tools for access to third-party AI model APIs. We do not own, operate, or control upstream model providers. Features, models, routing, pricing, and availability may change without prior notice.

Services are billed on prepaid credits, usage, or subscription plans as shown on the website. Trial credits are provided as-is and are not refundable or convertible. Paid purchases are final once delivered, except where mandatory law requires otherwise. Credits are tied to your account, non-transferable, and not redeemable for cash unless required by law.

Unused expired balances are not refundable except where mandatory law requires otherwise. You are responsible for monitoring your balance; service may be suspended if credits are insufficient.

4. Acceptable Use

You agree not to use our services to violate laws or third-party rights; generate or distribute illegal, harmful, abusive, deceptive, or infringing content; attempt unauthorized access, reverse engineering, scraping, or disruption; resell or redistribute API access without authorization; process personal data without a lawful basis; or engage in fraud, spam, or other abuse.

You are solely responsible for your applications, prompts, outputs, and compliance with laws applicable to your use case and end users.

5. AI & API-Specific Terms

As an API relay, we route requests to upstream providers. We do not generate model outputs ourselves and do not guarantee accuracy, completeness, legality, or suitability of generated content. Outputs may be inaccurate or inappropriate and do not constitute professional advice.

Availability may be affected by upstream APIs, networks, regulation, provider policy changes, maintenance, or force majeure. We do not guarantee uptime, latency, model availability, output quality, or consistency.

You retain rights to your lawful inputs and grant us a limited license to process inputs and outputs solely to provide, secure, and improve the services.

6. Intellectual Property

SoonStudio branding, website, software, and documentation are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, or create derivative works without our consent. Feedback may be used by us without restriction or compensation.

7. Suspension & Termination

You may stop using the services at any time and request account closure via support. We may suspend or terminate access for violations, legal requirements, non-payment, or operational reasons. Upon termination for cause, unused credits may be forfeited unless required otherwise by law. Surviving clauses (payment, disclaimers, liability limits) remain in effect.

8. Disclaimers & Limitation of Liability

Services are provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.

Our total liability for any claim arising from these Terms or the services shall not exceed the amount you paid to us in the twelve (12) months before the event giving rise to the claim.

9. International Use & Compliance

Services may involve cross-border transmission and processing. You are solely responsible for determining that your access and use are lawful in your residence, access location, and every jurisdiction where your end users or data subjects are located, including export controls, sanctions, data-protection, AI governance, and content rules.

We do not provide legal advice. Self-initiated access from restricted jurisdictions is at your sole risk. You agree to indemnify us against claims arising from unlawful use.

10. Changes & Contact

We may update these Terms from time to time. Material changes will be posted on this page. Continued use after updates constitutes acceptance.
